Job Description: Company Secretary
Brief Overview: You will need to have a good understanding of the laws that may affect the Charity and ensure that it complies with its financial and legal requirements.

Responsibilities:
- report to the chairman and board of trustees;
- oversee the preparation of meeting papers and follow up on action points;
- lodge required forms and annual returns with Companies House and the Charity Commission;
- ensure policies are kept up to date and approved by the board;
- maintain statutory books, including registers of trustees;
- deal with correspondence, collate information, write reports and disseminate decisions to relevant personnel;
- contribute to meeting discussions and, when required, advise staff and volunteers of the implications of proposed policies;
- monitor changes in relevant legislation and take appropriate action;
- liaise with external regulators and advisers;
- take responsibility for the health and safety of personnel, and manage matters relating to insurance and property;
- develop and oversee the systems that ensure the Charity complies with all applicable codes, in addition to its legal and statutory requirements;
- maintain the register of trustees;
- when applicable, monitor the administration of the Charity’s pension scheme;
- enter into contractual agreements with suppliers and customers;
- manage the office space and deal with personnel administration and insurance, equipment and premises;
- oversee PR relating to aspects of financial management.

Hours:
As a volunteer position the hours are flexible but we would estimate an average of four hours per week would be required. A Secretary to the Board will assist.
